This document draws from BLAQclouds' published website terms, operator details, contact information, FinCEN/MSB disclosure, and current public-company references, then adapts them for theAlley.io's social and community use case.


1. Acceptance of These Terms

These Terms of Service ("Terms") govern access to and use of theAlley.io website, mobile experience, communities, groups, chats, direct messages, comments, posts, media uploads, moderation tools, verification features, and related services (collectively, the "Service").

By creating an account, accessing the Service, posting content, participating in chats or groups, or otherwise using the Service, you agree to be bound by these Terms, theAlley Community Guidelines, and any supplemental rules or policies we publish for specific features.

If you do not agree to these Terms, you may not use the Service.

2. Who Operates the Service

theAlley.io is operated by BLAQclouds, Inc. ("BLAQclouds," "the Company," "we," "our," or "us"), a Nevada corporation. BLAQclouds publicly identifies itself as BLAQclouds, Inc. (OTC: BCDS) and lists its headquarters and contact information as 317 East Penn Ave., Robesonia, PA 19551, hello@blaqclouds.io, and 610-621-4804.

BLAQclouds also publicly states that it is registered with FinCEN as a Money Services Business ("MSB"), BSA ID 31000313564202, for certain products in its ecosystem. Use of theAlley.io does not, by itself, create any right to financial, brokerage, custody, advisory, transfer-agent, exchange, or regulated money transmission services unless expressly offered through a separate product, agreement, and compliance process.

3. Description of theAlley.io

theAlley.io is a communications and commerce platform intended to support communities, groups, creators, organizations, moderators, and approved commercial activity through platform-approved methods. Depending on the features available in your region or account tier, the Service may include public posting, private or group chat, groups, profile pages, moderation tools, media hosting, limited promotional tools, verification workflows, and integrations with other BLAQclouds or third-party services.

4. Eligibility and Account Registration

  • You must be legally permitted to use the Service where you live and where you access it.
  • You must provide accurate, current, and complete information when registering.
  • You are responsible for safeguarding your credentials, wallet connections, devices, and account access.
  • You are responsible for all activity under your account, whether or not you personally performed that activity.
  • You may not impersonate another person, company, project, public company, token issuer, moderator, or verified group.
  • We may require age gating, KYC/KYB, proof of authority, or other identity/verification steps for certain features, account types, or jurisdictions.

5. Community Standards and Platform Conduct Rules

You must use theAlley.io in a respectful, lawful, and community-safe manner. The following rules apply to all content and conduct on the Service, including posts, comments, chats, direct messages, profile content, usernames, group names, images, videos, audio, links, avatars, livestreams, and off-platform conduct that materially affects platform safety.

  1. Be respectful towards others.
  2. No spam. Moderators will not tolerate any form of spam message, flooding, repetitive posting, fake engagement, mass-tagging, or promotional abuse.
  3. No discussions of illegal matters, including planning, facilitating, soliciting, or celebrating unlawful conduct.
  4. Advertisements and promotions may only be made through approved theAlley methods, features, placements, or written approvals.
  5. Use the right channels. Post in the correct group, board, room, or feature, and approach moderators for help when needed.
  6. Report malicious behavior to moderators or platform reporting tools.
  7. No inappropriate language or behavior, including sexual content, violent content, graphic content, bullying, harassment, discriminatory content, hate content, or threats.
  8. You must follow theAlley Community Guidelines and these Terms of Service, including future updates posted at https://www.theAlley.io/terms-of-service.
  9. No NSFW material, period. Posting such material is grounds for immediate ban.
  10. No server raiding, coordinated disruption, brigading, mass-report abuse, or mentions or encouragement of raiding.
  11. No copy/paste of content into other boards, Telegram rooms, X/Twitter, Discord, or other social-media accounts without admin approval where such approval is required.
  12. Admin and moderator decisions are binding for purposes of platform safety and operations. Admins and moderators may mute, restrict, remove, suspend, or ban accounts or content to maintain community safety and well-being.
  13. Unless the affected party expressly approves, doxing is prohibited. Publishing another person's private or identifying information without authorization is grounds for permanent ban on first offense.
  14. Verified Groups must complete a Know Your Business (KYB) or Know Your Client / Know Your Customer (KYC) application if required by the platform.
  15. Any post that contains or appears to contain material non-public information about a public company or a token project may be removed immediately, and the posting account may be banned without warning.

6. Specific Prohibited Conduct

  • Harassing, stalking, threatening, or exploiting other users.
  • Posting pornography, child sexual abuse material, sexually exploitative material, or otherwise unlawful sexual content.
  • Promoting violence, terrorism, weapons misuse, self-harm, or graphic gore.
  • Posting defamatory, knowingly false, deceptive, manipulative, or fraudulent content.
  • Running pump-and-dump campaigns, undisclosed paid promotions, fake testimonials, astroturfing, or coordinated market manipulation.
  • Posting malware, phishing links, credential-harvesting content, scam wallets, malicious smart-contract links, or other harmful code.
  • Evading a ban or restriction; creating replacement accounts; buying, selling, or transferring accounts without permission.
  • Using bots, scrapers, or automation in unauthorized ways that burden or disrupt the Service.
  • Collecting, scraping, or exporting other users' data without permission or legal basis.
  • Infringing another party's copyright, trademark, privacy, publicity, contractual, or other legal rights.
  • Using the Service to facilitate illegal trading activity, insider trading, sanctions evasion, fraud, money laundering, or other unlawful schemes.

7. Posts, Chats, Groups, and User Content

You remain responsible for all content you submit, upload, publish, display, transmit, stream, share, link, or otherwise make available through the Service ("User Content"). User Content includes posts, comments, messages, chats, group descriptions, logos, media, links, usernames, handles, profile text, event listings, polls, documents, and any other content associated with your use of the Service.

You represent and warrant that: (a) you own or control the necessary rights in your User Content; (b) your User Content does not violate law or third-party rights; (c) your User Content is accurate to the extent it purports to state facts; and (d) you have all permissions needed to upload, display, and license such content to us.

We are not obligated to pre-screen User Content, but we may monitor, review, remove, restrict, de-rank, preserve, disclose, or investigate User Content at any time to enforce these Terms, comply with law, protect users, protect market integrity, respond to complaints, or operate the Service.

8. Global License to User Content

You retain ownership of your User Content, but in order for us to operate and protect the Service, you grant BLAQclouds and its affiliates, service providers, successors, and sublicensees a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, sublicensable license to host, store, cache, reproduce, modify for technical formatting and display, adapt, translate, publish, publicly perform, publicly display, distribute, syndicate within the Service, create derivative formatting copies, index, analyze, and otherwise use your User Content in any media or method now known or later developed for the limited purposes of:

  • operating, providing, maintaining, debugging, and improving the Service;
  • moderating content and enforcing these Terms and community rules;
  • detecting spam, fraud, abuse, impersonation, security threats, market-manipulation risk, and policy violations;
  • displaying and redistributing content within the Service according to your settings and the feature design;
  • backing up, archiving, and preserving records;
  • complying with law, court orders, subpoenas, law-enforcement requests, or regulatory obligations; and
  • marketing or promoting the Service using publicly shared content, usernames, profile images, or group content, unless prohibited by law or a separate written agreement.

This license survives for a commercially reasonable period after content removal to permit backup retention, legal compliance, audit logging, abuse prevention, enforcement, and archival processes. Nothing in this section means we sell your personal data. We do not sell people's personal data as stated in our platform approach, but we do need these broad rights to host, use, display, moderate, and distribute content globally through the Service.

9. No Sale of Personal Data; Privacy and Data Use

We do not sell personal data. Our collection, use, storage, disclosure, retention, and security practices are governed by our Privacy Policy and related disclosures. Even though we do not sell personal data, you acknowledge that we may process personal data and content as necessary to operate the Service, authenticate users, verify groups, detect abuse, personalize features, comply with law, protect users, preserve evidence, and enforce these Terms.

You are solely responsible for deciding what you disclose on the Service. Do not post confidential information, private credentials, seed phrases, unredacted legal documents, financial account numbers, medical information, or any other sensitive information unless the feature expressly requires it and you are authorized to provide it.

10. Public Company, Token Project, and Market-Integrity Rules

Because theAlley.io may be used by public companies, issuers, founders, token communities, and investors, market integrity is a core platform rule.

  • You may not post material non-public information ("MNPI") about any public company, security, digital asset, token project, treasury, capital raise, listing, merger, financing, buyback, tokenomics change, contract migration, or other market-moving event unless that information has already been publicly disseminated through appropriate authorized channels.
  • We may remove posts or restrict accounts based on a good-faith belief that content contains MNPI, selective disclosure, insider information, confidential deal terms, or other sensitive market-moving information.
  • Nothing on the Service constitutes investment, securities, trading, brokerage, tax, accounting, or legal advice.
  • Users are responsible for complying with securities laws, anti-fraud rules, token promotion laws, paid-promotion disclosure rules, and all other applicable laws in every jurisdiction relevant to their conduct.

11. Verified Groups, KYC, and KYB

Certain features, badges, commerce tools, fundraising tools, promotional tools, admin privileges, API access, or organizational profiles may require enhanced verification. Verified Groups, and any other accounts designated by us, must complete KYC, KYB, authority verification, sanctions screening, or related reviews we require.

Verification is a privilege, not a right. We may approve, deny, revoke, suspend, or condition verification at any time. Verification does not mean endorsement, investment quality, legitimacy of a token, legal compliance, or platform guarantee.

12. Promotions, Advertising, and Commercial Use

Commercial promotions, paid placements, sponsored posts, referral campaigns, affiliate links, token marketing, whitelist campaigns, airdrop announcements, contests, and other promotional conduct must use approved theAlley methods or obtain our written approval where required.

  • You must make legally required disclosures for paid or sponsored content.
  • We may label, restrict, remove, or reject promotional content at our discretion.
  • Unauthorized mass outreach, shilling, cross-post spam, incentive farming, or off-platform amplification campaigns tied to the Service are prohibited.
  • We may offer separate advertising, creator, issuer, enterprise, or promotional terms that supplement these Terms.

13. Moderation, Reporting, and Enforcement

Moderators, admins, trust-and-safety personnel, and automated systems may review behavior and content for compliance, safety, fraud, abuse, and legal risk. We encourage users to report malicious behavior, impersonation, doxing, spam, illegal activity, scams, or other violations through the tools we provide.

We may take any enforcement action we deem appropriate, including warning, content labeling, content removal, feature limitation, de-ranking, temporary mute, restricted visibility, suspension, permanent ban, group removal, verification revocation, referral to authorities, and preservation of records for investigation or litigation.

We may act with or without prior notice and are not required to provide a detailed explanation for every moderation decision, especially where doing so could compromise safety, investigations, privacy, or legal compliance.

14. Intellectual Property and Platform Rights

The Service, including its design, software, code, text, graphics, layouts, logos, names, trademarks, service marks, audio, video, moderation tools, workflows, and other platform materials, is owned by BLAQclouds, its affiliates, or its licensors and is protected by intellectual property and other laws.

Except as expressly allowed by us in writing, you may not copy, distribute, sublicense, sell, lease, scrape, reverse engineer, decompile, modify, exploit, or create derivative works from the Service or any platform content other than your own User Content.

15. Third-Party Services, Links, Wallets, and Integrations

The Service may link to or integrate with third-party sites, messaging platforms, wallets, blockchains, social-media services, storage providers, analytics tools, or payment-related services. We do not control third-party services and are not responsible for their content, availability, security, or terms. Your use of third-party services is governed by their own terms and policies.

Blockchain, wallet, and token-related interactions can be irreversible, public, technically complex, and risky. You are solely responsible for verifying addresses, permissions, transaction details, and counterparties before acting.

16. Copyright and Takedown Complaints

If you believe content on the Service infringes your copyright, trademark, privacy, publicity, or other rights, you may submit a complaint with sufficient detail for us to investigate. We may remove or restrict allegedly infringing content and may terminate repeat infringers.

17. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLAQCLOUDS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Content available through the Service may be user generated, incomplete, inaccurate, offensive, misleading, unauthorized, or unlawful. You assume the risk of relying on content posted by users, public-company representatives, token communities, moderators, or third parties.

Nothing on the Service is intended to constitute financial, investment, securities, legal, tax, or other professional advice. Digital assets and blockchain-based items may have no present or future monetary value.

18. Limitation of Liability

To the maximum extent permitted by law, BLAQclouds, its affiliates, officers, directors, employees, contractors, moderators, advisors, licensors, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or speculative damages, or for loss of profits, business, reputation, data, goodwill, or digital assets, arising out of or related to the Service or these Terms.

To the maximum extent permitted by law, our aggregate liability for claims arising out of or related to the Service will not exceed the greater of: (a) the amount you paid us for the specific Service giving rise to the claim during the 12 months preceding the event giving rise to liability; or (b) US $100.

19. Indemnification

You agree to defend, indemnify, and hold harmless BLAQclouds, its affiliates, officers, directors, employees, moderators, contractors, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to: (a) your User Content; (b) your use of the Service; (c) your violation of these Terms; (d) your violation of law; or (e) your infringement or misappropriation of any rights of another person or entity.

20. Suspension and Termination

We may suspend, restrict, or terminate access to the Service, any feature, any group, any badge, or any account at any time and for any reason, including suspected fraud, safety risk, legal risk, market-integrity concerns, spam, doxing, impersonation, failure to complete verification, inactivity, or breach of these Terms.

Sections that by their nature should survive termination will survive, including licenses, disclaimers, limitations of liability, indemnification, dispute resolution, record retention, and enforcement rights.

21. Changes to the Service and These Terms

We may modify the Service or these Terms at any time. Updated Terms become effective when posted, unless a later date is stated. Where required by law, we will provide additional notice for material changes. Your continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms.

22. Governing Law and Dispute Resolution

Unless prohibited by applicable law, these Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law principles. To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved through binding arbitration on an individual basis, except that either party may seek temporary or preliminary injunctive relief in a court of competent jurisdiction to protect intellectual property, confidential information, or platform safety.

You agree not to participate in any class action, class arbitration, or representative proceeding against BLAQclouds to the fullest extent permitted by law. If a court or arbitrator determines the class-action waiver is unenforceable as to a particular claim, then that claim must be severed and litigated in a court of competent jurisdiction, and the remaining claims will proceed in arbitration.

If binding arbitration is not enforceable in a given dispute, then exclusive venue for such dispute will lie in the state or federal courts serving Nevada, unless mandatory law requires otherwise.
